1. Agreement to These Terms
By creating an account, starting a trial, purchasing a subscription, buying postage through ShipLaneOS, connecting a store, or otherwise using the service, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use ShipLaneOS.
2. What ShipLaneOS Provides
ShipLaneOS is shipping-operations software for businesses. Depending on the features available to your account and the integrations you configure, the service may help you compare available shipping rates, purchase labels, track shipments, import ecommerce orders, maintain warehouse inventory, compare inventory against active order demand, and review inventory opportunities through Recovery Agent.
Features may change as the service is improved. A feature shown as unavailable, test-only, read-only, or requiring setup is not represented as fully operational until those conditions are satisfied.
3. Accounts and Security
You are responsible for providing accurate account information, keeping your login credentials secure, and all activity performed through your account. You must promptly contact us if you believe your account has been accessed without authorization.
4. 14-Day Trial and Subscription Billing
New eligible subscriptions use a 14-day card-backed trial. A valid payment method is collected through Stripe Checkout before the trial begins. The subscription price, billing interval, promotions, and other checkout terms are shown before you confirm checkout.
Unless canceled before renewal, a subscription may renew according to the billing interval selected at checkout. You can use the Stripe Customer Portal made available through ShipLaneOS to manage supported billing actions such as payment-method updates, invoices, and subscription cancellation.
Promotional offers may have eligibility limits, redemption limits, or other conditions presented on the pricing page or in Stripe Checkout. If promotional terms conflict with general marketing copy, the terms shown in the applicable checkout control the transaction.
5. Postage, Rates, and Label Purchases
Shipping rates and service levels are supplied through shipping providers and carriers and can change based on package dimensions, weight, origin, destination, service availability, carrier rules, and other data. A displayed rate is not a guarantee that a carrier will accept a package at that exact final cost in every circumstance.
ShipLaneOS requires an explicit confirmation before the protected live-shipping flow purchases a new label. When you confirm a purchase, you authorize the applicable postage transaction shown to you. You are responsible for reviewing the recipient address, ship-from address, package details, selected service, and displayed price before confirming.
Carrier adjustments, address corrections, dimensional-weight changes, surcharges, duties, taxes, customs charges, or other carrier-imposed amounts may be outside ShipLaneOS's control.
6. Store Integrations and Third-Party Services
ShipLaneOS may integrate with services such as Stripe, EasyPost, Shopify, WooCommerce, Amazon, and shipping carriers. Availability depends on both ShipLaneOS configuration and the third party's systems, permissions, credentials, APIs, and policies.
You authorize ShipLaneOS to access and process the account, order, shipping, or store information necessary to provide an integration you choose to connect. You are responsible for having the authority to connect that account and provide its credentials or authorization.
We do not control third-party outages, API changes, account restrictions, carrier performance, or decisions made by third parties. We may disable or limit an integration when required for security, reliability, compliance, or because required configuration is unavailable.
7. Inventory and Imported Order Data
Warehouse inventory maintained in ShipLaneOS is only as accurate as the information entered or imported. The Inventory comparison feature compares ShipLaneOS warehouse records with supported imported active-order demand. The current Inventory page does not automatically write warehouse quantities back to Shopify or WooCommerce.
You are responsible for reviewing imported orders, quantities, SKUs, addresses, statuses, and other operational data before relying on it for fulfillment or inventory decisions.
8. Recovery Agent
Recovery Agent is a decision-support feature. In its current launch version, it analyzes available ShipLaneOS inventory and imported order history to identify slow, stagnant, or otherwise review-worthy inventory and to present suggested recovery actions.
Recovery Agent is read-only by design. It does not automatically change product listings, prices, inventory quantities, advertising, or connected-store data. Recommendations, opportunity scores, and estimated recoverable values depend on available data and assumptions and are not guarantees of sales, profit, savings, recovery value, or business results.
9. Acceptable Use
You may not use ShipLaneOS to:
- violate applicable law or third-party rights;
- create fraudulent, deceptive, or unauthorized shipments or transactions;
- ship prohibited or restricted goods in violation of carrier or legal requirements;
- attempt unauthorized access to accounts, systems, data, APIs, or credentials;
- interfere with, overload, reverse engineer, or misuse the service except where applicable law expressly permits it; or
- use the service in a way that could harm ShipLaneOS, another user, a carrier, or a third-party service.
10. Service Availability and Changes
We work to keep ShipLaneOS available and reliable, but continuous or error-free operation is not guaranteed. Maintenance, security work, software updates, carrier outages, provider outages, ecommerce-platform changes, network failures, or other events may interrupt features.
We may modify, add, suspend, or remove features when reasonably necessary to operate, secure, or improve the service.
11. Your Data and Privacy
Our handling of personal information is described in the Privacy Policy. You remain responsible for having appropriate rights and permissions for customer, order, recipient, inventory, and store data that you submit or connect to ShipLaneOS.
12. Intellectual Property
ShipLaneOS software, interfaces, branding, and original service content are protected by applicable intellectual-property laws. These Terms do not transfer ownership of ShipLaneOS technology to you. You retain your rights in business data and content you lawfully provide to the service, subject to the permissions needed for ShipLaneOS to process that data to provide the service.
13. Disclaimers
To the fullest extent permitted by applicable law, ShipLaneOS is provided on an "as is" and "as available" basis. We do not guarantee carrier delivery times, uninterrupted third-party integrations, a particular shipping rate, inventory accuracy when source data is inaccurate, or any specific business result from recommendations or software output.
14. Limitation of Liability
To the fullest extent permitted by applicable law, ShipLaneOS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the service, including losses caused by carrier delays, lost or damaged packages, incorrect user-supplied shipment data, third-party outages, or reliance on estimates or recommendations.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
15. Suspension or Termination
Access may be suspended or terminated when reasonably necessary to address fraud, abuse, security threats, unlawful conduct, material violations of these Terms, nonpayment, or risks to ShipLaneOS or third parties. You may stop using the service at any time; subscription cancellation should be completed through the billing-management option provided for your account.
16. Changes to These Terms
We may update these Terms as ShipLaneOS changes. The current version and its last-updated date will be posted on this page. Where required by applicable law, additional notice will be provided.
